RC Precision Engineering (RCPE) Terms and Conditions
RC Precision Engineering (RCPE) is committed to fostering long-term, mutually beneficial relationships with our suppliers. These Terms and Conditions outline the essential requirements for the supply and delivery of goods and/or services to RCPE. By accepting a contract or purchase order from RCPE, suppliers agree to comply with these conditions.
1. Acceptance
The Supplier accepts these conditions through acceptance of a contract or purchase order referencing this document or through the commencement of any related work or activities. Unless expressly modified in writing by an RCPE representative, these conditions are deemed accepted in their entirety.
2. General
RCPE’s Order number must be quoted on all documents and correspondence related to the Purchase Order. A Purchase Order number must accompany verbal orders, and a copy of the purchase order must be received by the Supplier within 48 hours.
3. Acknowledgement
Purchase orders must be acknowledged and confirmed in writing by the Supplier within 24 hours of receipt. Any queries must be raised before proceeding with the order. Acceptance of an Order or the performance thereof shall be deemed acceptance of these conditions.
4. Delivery and Packing
Timely delivery is of the essence. RCPE requires 100% on-time delivery. Any anticipated delays or issues affecting delivery must be communicated in writing to RCPE immediately. The delivery date is considered the date when the goods are shipped from RCPE. Delivery costs are the responsibility of the customer unless otherwise agreed in writing. Goods must be suitably packed to ensure arrival in good condition.
5. Quantity
RCPE is not liable for quantities exceeding those specified in the order. Excess quantities may be returned at the Supplier’s expense.
6. Identification
All deliveries must include the Supplier’s delivery documentation and material certification. Documentation must reference RCPE’s part number (where applicable), part description, order number, and quantity delivered.
7. Warranty
Supplies must conform to RCPE’s specifications and be free from defects in materials and workmanship for 12 months from delivery. The Supplier will rectify any defects by repair or replacement at no charge. All other warranties, express or implied, are excluded to the fullest extent permitted by law.
8. Provision of Materials
Materials provided by RCPE remain the property of RCPE and must only be used for the intended purpose.
9. Non-conforming Product
The Supplier must notify RCPE in writing of any non-conforming products. Non-conforming products may be subject to a concession if approved by RCPE, and the concession number must be referenced on all related documentation.
10. Special Requirements
The Supplier must observe and flow down any special requirements, critical items, and key characteristics specified in the Purchase Order to their sub-tier suppliers as applicable.
11. Specification, Design, and Scope Changes
RCPE may require changes to the specifications, design, or scope of supplies. Such changes will be reflected in a written amendment to the contract.
12. Termination for Breach or Insolvency
RCPE may terminate the contract if the Supplier fails to deliver on time, becomes insolvent, or fails to remedy a breach within the specified time.
13. Termination for Convenience
RCPE may terminate the contract at any time without cause. The Supplier will be compensated for costs incurred up to the termination date.
14. Quality
The Supplier must comply with RCPE’s quality assurance requirements and notify RCPE of any changes affecting their ability to meet these conditions.
15. Right of Access / Audits
RCPE, its customers, and regulatory authorities have the right to access and inspect the Supplier’s facilities and records related to the contract.
16. Drawings, Tools, and Equipment
All tools, drawings, and materials provided by RCPE remain RCPE’s property and must be returned upon completion or termination of the contract.
17. Payment
Payment terms are strictly 30 days EFT from the end of the month in which the goods or services are received. Invoices must include RCPE’s Purchase Order number and all necessary information.
18. Indemnity
The Supplier agrees to indemnify RCPE against any third-party claims arising from defects in supplies, except for consequential or indirect losses.
19. Insurance
The Supplier must maintain adequate insurance coverage, including General and Product Liability Insurance, Workers Compensation, and other relevant insurances, as required by law or requested by RCPE.
20. Confidentiality
The Supplier must not use or disclose any technical or proprietary information provided by RCPE except for the purpose of fulfilling RCPE’s orders.
21. Force Majeure
Neither party will be liable for delays or failures to perform due to events beyond their control (Force Majeure). Affected parties must notify the other party as soon as possible, specifying the obligations affected and measures to remedy the situation.
22. Intellectual Property
Any intellectual property rights arising from the supplies furnished by RCPE belong to RCPE.
23. Applicable Law and Jurisdiction
These conditions are governed by the laws of the Commonwealth of Australia and the State of Victoria. The parties submit to the jurisdiction of Victorian courts.
24. Documentation Storage & Retention
The Supplier must maintain quality records traceable to the conformance of product/part numbers delivered to RCPE for 10 years from the date of shipment unless otherwise stated.
25. Counterfeit Parts
The Supplier must implement processes to prevent counterfeit parts. Suspect counterfeit materials will be impounded and replaced by the Supplier at no cost to RCPE.
26. Awareness
The Supplier must ensure that their personnel are aware of their contribution to product or service conformity, product safety, and ethical behavior.
27. Flow Down Requirements
The Supplier must flow down all applicable requirements to their external providers as stated in these conditions and any additional requirements specified in the Purchase Order.
28. Additional Terms for RCPE Supplied Parts/Components and Other Works
When RCPE supplies parts, components, or other works, the following additional terms apply:
Ownership and Risk: Ownership of supplied parts and components remains with RCPE until they are incorporated into the final product or assembly. Risk of loss or damage to RCPE-supplied parts and components remains with the Supplier from the time of receipt until they are returned to RCPE or incorporated into the final product.
Inspection and Testing: RCPE-supplied parts and components must be inspected and tested by the Supplier upon receipt. Any discrepancies or defects must be reported to RCPE within five (5) business days.
Use of Parts: RCPE-supplied parts and components must be used solely for the purpose specified in the contract or Purchase Order and must not be substituted with other parts without prior written approval from RCPE.
Return of Parts: Any unused RCPE-supplied parts and components must be returned to RCPE upon completion of the contract or Purchase Order, or upon RCPE’s request.
Maintenance and Care: The Supplier must maintain and care for RCPE-supplied parts and components in accordance with RCPE’s instructions and industry standards.
By accepting a contract or purchase order from RCPE, the Supplier agrees to comply with these Terms and Conditions. Failure to adhere to these conditions may result in contract termination or other remedial actions as deemed appropriate by RCPE.
